Terms of Service

1. Who we are, who you are

These terms are between you (“Client” or “you”) and Hyder Media, Inc. doing business as AutomateDojo (“we”, “us”, “the Company”). They govern your use of the platform at https://automatedojo.com and all associated services, including website hosting, lead capture, paid advertising management, CRM integration, and support.

2. Account + authorization

To subscribe, you must (a) be at least 18, (b) be authorized to bind the martial-arts business you're representing, and (c) provide accurate contact and payment information. You are responsible for all activity under your account credentials. Notify us immediately at kenny@hyder.me if you suspect unauthorized access.

3. Agency relationship

You retain full ownership of your business, brand, customer data, domain, ad accounts, social properties, and all materials you provide to us. We operate as your authorized agency for the limited purpose of running the platform and any campaigns you commission. Specifically:
  • We do not own your customer list. It's your data, stored on our infrastructure on your behalf.
  • We do not own your ad account or Business Manager. You grant us partner access; you retain the asset.
  • We do not own creative we produce for you. Upon termination, all creative + content + lead data is yours to keep.
  • You authorize us to run ads, send transactional emails, and interact with third-party platforms (Meta, Google, Stripe, your CRM) only to the extent necessary to deliver the services you've purchased.

4. Subscription + payment

Subscriptions are billed monthly via Stripe in the currency and amount shown at checkout. The first month is paid in full upon signup, including any one-time setup fees. Subsequent months bill automatically on the same day. Cancel anytime in your account or by emailing kenny@hyder.me; cancellation takes effect at the end of the current billing period (no proration for partial months). Ad spend you authorize on Meta or Google is billed separately by those platforms to a payment method you provide directly to them; we do not mark up your ad spend.

5. Acceptable use

You agree not to use the platform to:
  • Promote violence, harassment, discrimination, or illegal activity.
  • Send unsolicited bulk email (spam) outside what the platform's sequence engine sends to leads you've legitimately captured.
  • Misrepresent the nature of your business, credentials, lineage, or rankings.
  • Impersonate other martial-arts schools, instructors, or organizations.
  • Violate Meta's Advertising Policies, Google's Advertising Policies, or any other platform's rules.
  • Attempt to reverse-engineer, scrape, or overload the platform.
We may suspend or terminate your account immediately for material violations, with proportionate notice for first-time issues.

6. Service availability

We target 99.5% monthly uptime on the platform. We do not guarantee any specific advertising results, conversion rates, lead volumes, or revenue outcomes from campaigns we manage on your behalf. Paid advertising is inherently variable.

7. Intellectual property

The platform code, design system, templates, AI-generation prompts, and the underlying SaaS infrastructure are our property and remain so after you cancel. Specifically: when you cancel, we will export your data (content, leads, brand assets, ad-account configuration) in a portable format and disable your deployed site within 30 days of cancellation. The AutomateDojo templates themselves are not licensed for use outside our platform.

9. Termination

Either party may terminate this agreement at any time. Upon termination:
  • Your subscription ends at the end of the current billing period.
  • We export your lead data, ad performance history, and content within 30 days.
  • Your custom domain remains yours; we remove the connection from our hosting.
  • Active ad campaigns we manage will be paused (you can resume them from your own ad account).
  • Outstanding ad spend invoices billed directly by Meta or Google remain your responsibility.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from these terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, or for ad spend, lost revenue, or loss of business opportunity. Some jurisdictions don't allow these exclusions; in those jurisdictions our liability is limited to the maximum extent permitted.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of (a) your violation of these terms, (b) the content, claims, or credentials you provide for use on your website or ads, (c) your use of customer data, and (d) any disputes with leads, customers, or competitors that result from your business activity. We will indemnify you for claims that our platform itself (excluding content you provide) infringes a third party's intellectual property.

12. Governing law + disputes

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual-property matters.

13. Changes to these terms

We may update these terms. Material changes will be emailed to active Dojo Clients 14 days before taking effect; continued use after the effective date constitutes acceptance. Non-material changes (clarifications, formatting, contact info updates) take effect on the date posted.
